Terms of Service

These Terms of Service form a binding agreement between you and Interval Limited (operating as Ztract) covering your use of the Ztract service. By creating an account or otherwise using the Service you agree to these Terms.

1. Who we are

The Service is operated by Interval Limited, a company incorporated in Hong Kong with its registered office at Unit 2A, 17/F, Glenealy Tower, No.1 Glenealy, Central, Hong Kong S.A.R. In these Terms, "Ztract", "we", "us", and "our" refer to Interval Limited.

2. The Service

"Service" means the Ztract website at ztract.com, the Ztract application at app.ztract.com, and any related software, APIs, and content we make available under the Ztract brand. The Service lets you upload documents, define extraction schemas, run those schemas against the documents, review the extracted fields against the source, correct any values, and export the results.

We may add, modify, or discontinue features of the Service from time to time. We will give reasonable advance notice of changes that materially reduce the core functionality you rely on.

3. Your account and eligibility

3.1 Account creation

To use most of the Service you need an account. You agree to provide accurate information when creating an account and to keep that information current. You are responsible for safeguarding your password and for any activity that occurs through your account. Notify support@ztract.com immediately if you suspect unauthorized use of your account.

3.2 Eligibility

You must be at least 16 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and "you" in these Terms refers to that organization.

3.3 One account per person or organization

In the current release, each account is a single user account. You may not let multiple people share the same account except for short-term operational handover or as we may otherwise permit in writing. Multi-seat team workspaces are on our roadmap; until they ship, account-sharing should be limited and is at your own risk.

4. Pages and payment

4.1 Page-pack model

The Service is sold as one-time page packs. You purchase a pack containing a stated number of pages; each successful extraction consumes pages from your account. There is no subscription, no recurring charge, and no automatic renewal.

4.2 Free pages on signup

New accounts receive 30 pages on signup to evaluate the Service. Free pages have no cash value and cannot be transferred or refunded.

4.3 Validity

Pages from a paid pack remain usable for 12 months from the purchase date of that pack. Unused pages expire at the end of the validity period and are not refundable except as set out in section 4.5.

4.4 Counting

  • One page of a PDF or Office file (Word, Excel, PowerPoint) counts as one page.
  • One image (JPG, PNG, WebP, TIFF, BMP) or one text-based file (HTML, TXT, CSV, RTF) typically counts as one page. Very large files may be split by the system into multiple pages — the dashboard shows the actual count.
  • Re-running a previously processed document with a different schema is a new extraction and counts again.
  • If the Service cannot return a result for a page (corrupted file, unsupported content, internal error), that page is refunded to your pack.

4.5 Refunds

We will refund unused pages for any reason within 14 days of the purchase date of the pack containing them. After 14 days, packs are non-refundable. To request a refund, email support@ztract.com from the account's registered email address.

4.6 Payment

Payments are processed by Stripe. By purchasing a pack you authorize Stripe to charge the payment method you provide for the amount displayed at checkout, plus any applicable taxes. Prices are shown in the currency you select at checkout and are inclusive or exclusive of tax as indicated on the checkout page.

4.7 Taxes

You are responsible for any taxes, duties, or other government charges assessed on your purchase that are not collected by us through Stripe. If you are exempt from any tax, provide a valid exemption certificate before purchase.

5. Customer Content

5.1 You own your content

"Customer Content" means the documents you upload, the schemas you define, the extracted results, and any other material you submit to the Service. As between you and Ztract, you own all rights in your Customer Content. We claim no ownership over it.

5.2 Licence to us

You grant us a worldwide, non-exclusive, royalty-free licence to host, process, copy, and display Customer Content solely to provide the Service to you. This licence extends to our sub-processors (listed in our Privacy Policy and DPA) only to the extent necessary for them to deliver their part of the Service.

5.3 We do not train on your content

We do not use Customer Content to train our own models, and we send Customer Content to third-party AI providers only under terms that prohibit those providers from training on your data.

5.4 Your warranties

You warrant that:

  • You own or have all necessary rights, consents, and authority to upload Customer Content to the Service and to have it processed as described in these Terms.
  • Your Customer Content does not infringe any third party's intellectual-property, privacy, publicity, or other rights.
  • Where Customer Content includes personal data, you have a lawful basis under all applicable data-protection laws for our processing of that personal data in connection with the Service.
  • Your Customer Content does not contain content prohibited by section 6.

6. Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party right.
  • Upload, transmit, or process child sexual abuse material; content that promotes terrorism or violent extremism; or any other content that is illegal in the jurisdiction where it is processed.
  • Process documents you do not have the right to process, or facilitate identity fraud or other illegal use of identity documents.
  • Reverse-engineer, decompile, or attempt to derive the source code of the Service except to the extent applicable law permits this and we cannot lawfully restrict it.
  • Probe, scan, or test the vulnerability of the Service except under a coordinated disclosure programme we have authorized in writing.
  • Interfere with or disrupt the Service, the servers running it, or other users' access.
  • Resell, sub-license, or make the Service available to a third party except as we explicitly permit.
  • Use the Service to build a competing product or to copy our user interface or content.
  • Use the Service to send unsolicited communications.

We may investigate suspected violations and, at our discretion, suspend access or terminate the Service if we have a reasonable basis to believe a violation has occurred. Severe violations (such as those in the second bullet above) will result in immediate termination and may be reported to law-enforcement authorities.

7. Our intellectual property

The Service itself — including the application, the underlying software, the Ztract name and logo, the visual design, and any documentation — is owned by Interval Limited or its licensors. We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business or personal purposes, subject to these Terms. No rights are granted by implication.

8. Service availability and beta features

We aim to keep the Service available and reliable, but we do not commit to a specific uptime in the current release. Service-level commitments may be offered separately for enterprise customers; contact us if you need one.

Some features may be labelled as "beta", "preview", or similar. These are provided as-is, may be changed or discontinued without notice, and may have reduced reliability or different terms of use that we will indicate at the time of release.

9. Privacy

Our processing of personal information is described in our Privacy Policy. Where we process Customer Personal Data on your behalf as a processor under data-protection law, our Data Processing Agreement applies and is incorporated into these Terms by reference.

10. Confidentiality

Each party may disclose non-public information to the other in connection with the Service. The receiving party will: (a) use the disclosing party's confidential information only to perform under these Terms; (b) protect it with at least the same care it uses for its own confidential information of a similar nature; and (c) limit access to personnel and contractors who need it and are bound by confidentiality obligations no less protective than these. This section does not apply to information that is publicly known through no fault of the receiving party, independently developed, or received from a third party without confidentiality obligations.

11. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, Ztract disclaims all warranties — express, implied, statutory, or otherwise — including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage.

Output accuracy. Ztract performs automated document understanding using third-party large language models. The Service's output is probabilistic and may contain errors. You are responsible for reviewing extracted data before relying on it for any decision that has legal, financial, medical, safety, or other significant consequences. Confidence scores and the side-by-side review viewer are tools to assist that review, not substitutes for it.

Not professional advice. The Service does not provide legal, medical, accounting, tax, or other professional advice and no output from the Service should be treated as such.

12. Limitation of liability

To the maximum extent permitted by applicable law:

  • Neither party will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.
  • Each party's total cumulative liability for all claims arising out of or related to these Terms or the Service in any 12-month period will not exceed the greater of (a) the amount you actually paid to us for the Service in the 12 months preceding the event giving rise to liability and (b) US$1,000.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, and breaches of statutory rights that may not lawfully be waived.

13. Indemnification

You will indemnify, defend, and hold harmless Ztract and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your Customer Content or the processing of it on the Service; (c) your violation of any law or third-party right.

We will: notify you promptly in writing of any claim subject to indemnification; cooperate reasonably with your defence at your expense; and give you control of the defence and settlement, provided that any settlement that imposes obligations on us beyond a payment requires our prior written consent.

14. Term and termination

14.1 Term

These Terms apply from the time you create an account or first use the Service until terminated.

14.2 Termination by you

You may stop using the Service and close your account at any time by contacting support@ztract.com or by using the account-deletion function in the dashboard when available.

14.3 Termination by us

We may suspend or terminate your access to the Service if you materially breach these Terms (including the acceptable-use rules in section 6) and fail to cure the breach within 14 days of written notice — or immediately, and without notice, where the breach is severe, threatens our infrastructure or other users, or cannot lawfully be tolerated.

14.4 Effect of termination

On termination: (a) your right to access the Service ends; (b) any unused paid pages within their 12-month validity will be refunded on a pro-rata basis if termination was initiated by us without your fault, but are forfeit if termination was for your material breach; (c) sections that by their nature survive termination (including 5, 6 final paragraph, 7, 9, 10, 11, 12, 13, and 16) will survive; (d) we will delete your Customer Content within 30 days as set out in our DPA.

15. Modifications to these Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top. If a change is material, we will give at least 30 days' notice through the Service or by email before the change takes effect. Continued use of the Service after the change takes effect means you accept the updated Terms; if you do not accept them, stop using the Service before the change takes effect and contact us to close your account.

16. Dispute resolution and governing law

16.1 Informal resolution first

Before starting arbitration, you agree to first try to resolve any dispute informally by contacting support@ztract.com with a clear description of the issue and the resolution you're seeking. We will try in good faith to resolve the dispute within 30 days.

16.2 Arbitration

Any dispute, controversy, difference, or claim arising out of or relating to these Terms — including their existence, validity, interpretation, performance, breach, or termination — that is not resolved informally within 30 days will be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time of the request for arbitration. The seat of arbitration is Hong Kong, the number of arbitrators is one, and the language of the arbitration is English.

16.3 Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws principles.

16.4 Court actions for limited matters

Notwithstanding section 16.2, either party may bring an action in a court of competent jurisdiction to seek injunctive or other equitable relief to protect its intellectual property or confidential information.

17. General

  • Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and (where applicable) DPA, are the entire agreement between you and Ztract regarding the Service and supersede any prior agreements relating to the same subject matter.
  • No waiver. A failure to enforce any part of these Terms is not a waiver of our right to do so later.
  • Severability. If any part of these Terms is held to be unenforceable, the rest of the Terms remain in effect.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of our assets, on notice to you.
  • Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, government action, internet or telecommunications outages, or pandemic.
  • Notices. Notices to us must be sent to support@ztract.com. Notices to you will be sent to the email associated with your account or displayed in the Service.
  • No third-party beneficiaries. These Terms do not create rights for anyone other than you and us.
  • Independent contractors. The parties are independent contractors; nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
